Public Offer

This Public Offer (the "Offer") sets out the terms on which NORDVUE INTERIORS LTD (the "Supplier") offers to supply goods to business customers (the "Buyer"). By placing an order, paying a pro‑forma invoice, or accepting delivery, the Buyer accepts this Offer and a binding contract is formed.
1. Subject
The Supplier agrees to supply, and the Buyer agrees to purchase, furniture, carpets, lighting and/or office furnishings as specified in the confirmed order documents.
2. Orders and acceptance
- Quotations are invitations to treat and valid for the period stated.
- An order is accepted when confirmed in writing by the Supplier and, where required, upon receipt of advance payment.
3. Prices and payment
- Prices are exclusive of VAT, duties and delivery unless stated otherwise.
- Payment terms: as stated on quotation or invoice (e.g., pro‑forma, deposit, balance prior to dispatch).
- Late payment may incur interest at the statutory rate.
4. Delivery and risk
- Delivery terms per the order (e.g., EXW, FOB, DAP). Risk passes on delivery as per the agreed Incoterms.
- Delivery dates are estimates. The Supplier is not liable for delays outside its reasonable control.
5. Inspection and claims
- The Buyer must inspect goods upon delivery and notify defects or shortages within 5 business days with evidence.
- Failure to notify constitutes acceptance.
6. Warranty
Goods are warranted to conform to agreed specifications at delivery. Remedies are limited to repair, replacement, or refund at the Supplier’s option. Exclusions apply for misuse, improper installation, or normal wear.
7. Returns
Returns require prior written authorisation. Custom or made‑to‑order items are non‑returnable unless defective.
8. Title
Title remains with the Supplier until full payment is received. The Buyer shall keep goods identifiable and insured until title passes.
9. Limitation of liability
To the extent permitted by law, the Supplier is not liable for indirect, incidental or consequential losses. Aggregate liability is limited to the price paid for the affected goods.
10. Compliance
The Buyer is responsible for compliance with applicable import, tax and regulatory requirements in the destination country.
11. Force majeure
Neither party is liable for failure or delay due to events beyond reasonable control, including but not limited to strikes, transport disruptions, acts of God, or government actions.
12. Governing law
This Offer and any contract formed under it are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
